Overview
Janine Acosta is an attorney in Holland & Knight's Bogotá office, where she focuses her practice in compliance, environmental law and real estate law in the energy, and oil and gas sector.
Ms. Acosta supports the firm's energy and natural resources teams by assisting clients with legal documents, contract negotiations, compliance programs and arbitration proceedings.
Prior to joining Holland & Knight, Ms. Acosta worked as an analyst at two risk consulting firms, concentrating her practice on pre-transactional due diligence and unfair competition investigations.
Representative Experience
- Drafted and reviewed corporate contracts, joint venture agreements and industry-specific commercial transactions resulting in the operation of a 200-megawatt (MW) generation plant and client participation in offshore projects
- Participated in the follow-up and defense of environmental sanctioning processes of companies in the energy sector in Colombia
- Conducted pre-transactional legal research in environmental matters to support the financing of two road infrastructure projects in Colombia
- Supported the assurance of regulatory compliance in risk prevention systems such as Comprehensive Self-Control and Risk Management System for Money Laundering and Terrorist Financing (SAGRILAFT) and Transparency and Business Ethics Programs (PTEE) using the elaboration of compliance programs and reporting to regulatory authorities
- Assisted the firm's Houston natural resources team in three international investment arbitrations that resulted in favorable decisions for the clients
- Executed 56 due diligence investigations that identified a corruption network operating within the Office of the Attorney General of Colombia
- Conducted extensive investigations into fraud and unfair competition in the energy sector in Colombia
- Conducted several reputational investigations in multiple jurisdictions for potential investors in Argentina
- Conducted pre-transactional research in public registries for investment funds, which drove several investment decisions in Colombia, Bolivia, Ecuador, Panama and Peru
- Supported the review of regulatory compliance through the investigation of national and international legislations that resulted in the merger and acquisition (M&A) of different multinational companies and investments in local M&A of different multinationals, startups and public projects in the Andean region
- Participated in an intelligence investigation in Ecuador related to litigation between the state and a multinational company in the oil and gas sector
