Asset-Based Lending

Holland & Knight’s Financial Services Practice represents financial institutions in connection with negotiation and documentation for complex secured and unsecured commercial credit transactions. In this regard, we employ sophisticated procedures for the structuring of loan and credit agreements between domestic and international lenders and borrowers.

Our Financial Services Practice is interdisciplinary. We have broad experience in the areas of cash flow and asset-based lending. We have handled virtually every facet of lending transactions, including multimillion dollar loans secured by a wide variety of collateral, such as inventory and accounts receivable, securities, loan portfolios, aircraft, equipment, machinery, government contracts and other collateral. Our lawyers work with various interest rate options, such as Eurocurrency, Federal funds and CD base rates. They utilize Florida tax minimization techniques, represent lead lenders in syndicated transactions, and draft intercreditor, participation and subordination agreements.

Financings are as varied as the businesses that require them, and we have the knowledge and experience necessary to handle the procedures and documentation unique to each individual loan. Since the secured party’s rights to the collateral are governed by the loan documents, the structuring of the documentation is of utmost importance. We bring creativity, ingenuity and problem-solving capabilities to the table to handle the intricacies of developing the documentation.

Should it become necessary for a lender to take possession of collateral used to secure a loan, or otherwise to enforce their collection rights against a borrower, we use our litigation experience and resources in the collection proceedings and other matters involving creditors’ rights and bankruptcy.
