Rail Service Provider's $1.1 Billion Merger
 

A leading short-line and regional rail service provider engaged Holland & Knight to represent the company in its acquisition in a merger that gave stockholders $16.35 per share. The total value of the transaction was approximately $1.1 billion. The $16.35 price to the client's shareholders represented a 32 percent premium to the closing price the day before the agreement – and a 49 percent premium over the 60-day average trading price of its common stock.
