This discussion is brought to you by Holland & Knight LLP, in conjunction with: Corporate Board Member Magazine, AIG, KPMG and MARSH.

The discussion is targeted to directors, officers, board members and general counsel of public companies.

Today's corporate environment is rapidly changing. In response to recent corporate failures, corporate governance issues have taken the front seat in Congress and the Securities Exchange Commission. Public company officers and directors have come under much scrutiny from the public, Congress and the White House.

The recently passed Sarbanes-Oxley Act is broad in scope and imposes possible severe financial and criminal penalties for non-compliance.

This program will address corporate governance issues and their effect on the following areas:

  • Auditor Independence and Regulation
  • Audit Committees
  • Corporate Responsibility
  • Enhanced Financial Disclosures
  • Directors' and Officers' Liability and Insurance
  • Analyst Conflicts of Interest
  • Criminal Penalties for Corporate Fraud
  • Corporate Compliance Programs
  • SEC Enforcement

T.K. Kerstetter, President of Corporate Board Member magazine, will give a presentation on "What Directors Think . . . What Directors Should Think." Randolph DelFranco of Holland & Knight will speak on "Corporate Governance Reform: Changed Relationships" and Charles Elson, Edgar S.
