This discussion is brought to you by Holland & Knight LLP,

The discussion is targeted to directors, officers, board
members and general counsel of public companies.
Today's corporate environment is rapidly changing. In
response to recent corporate failures, corporate governance issues have taken
the front seat in Congress and the Securities Exchange Commission. Public
company officers and directors have come under much scrutiny from the public,
Congress and the White House.
The recently passed Sarbanes-Oxley Act is broad in scope
and imposes possible severe financial and criminal penalties for non-compliance.

magazine, will give a presentation on "What Directors Think . . . What Directors
Should Think." Randolph DelFranco of Holland & Knight will speak on "Corporate
Governance Reform: Changed Relationships" and Charles Elson, Edgar S. Woolard,
Jr. Professor of Corporate Governance at the University of Delaware and Of
Counsel to Holland & Knight on "Corporate Governance Implications of the Enron
Controversy."
The other members of the faculty are Neal Beaton, Lance
Myers, Sandra Mayerson, Jerry Bernstein, Mitchell Herr, Jeff Livingston and
Stephen Weiss, all from Holland & Knight; and Scott Reed from KPMG, Jack Flug
from Marsh, and William Cotter from AIG. They will participate in two panels on
