Holland & Knight’s Mid-Atlantic M&A Team Leads Five Acquisitions in April

WASHINGTON, D.C. – Holland & Knight LLP today announces the closing
of acquisitions on behalf of five clients during the three-week period from
April 1, 2005 to April 19, 2005.
Holland & Knight’s mid-Atlantic mergers and acquisitions team – led by

On April 19, 2005, Holland & Knight client SRA International, Inc. – a
Virginia-based provider of information technology services and solutions to the
federal government – announced the acquisition of DC-based Touchstone
Consulting Group, Inc., a privately held management consultancy with an
established track record of serving senior executives in the federal
government.
On April 18, 2005, Holland & Knight client Codem Systems, Inc. – a New
Hampshire-based provider of signals intelligence (SIGINT) systems, network
interface modules, and high performance antenna control systems – announced that
it was being acquired in a $29 million stock purchase transaction by New
Jersey-based DRS Technologies, a provider of leading edge products and services
to defense, government intelligence and commercial customers. The transaction
was financed by DRS using existing cash on hand and allows for additional
financial consideration for Codem payable upon achievement of certain financial
targets.
On Monday, April 18, 2005, Holland & Knight
client Johnson, Bassin & Shaw, Inc. – a Maryland-based government contractor –
acquired all of the outstanding equity of Aguirre International and The Aguirre
Group LLC, each government contractors based out of California with offices in
Washington, D.C., for approximately $4 million.
On April 4, 2005, Holland & Knight client Analex Corporation – a
Virginia-based provider of mission critical professional services to federal
government clients – announced the $47 million acquisition of
ComGlobal Systems, Inc., a San Diego-based
company specializing in command, control, communications, computers and
intelligence (C4I) programs for the military and its largest customer – the U.S.
Navy’s Tomahawk Cruise Missile Program. The transaction consisted of $22
million in senior bank debt from Bank of America and $25 million from the sale
of additional Series B Convertible Preferred Stock to GE Pension Trust, New York
Life Capital Partners and Pequot Capital.
On April 1, 2005, Holland & Knight client Alion Science and Technology – a
Virginia-based, employee-owned technology solutions firm focused on supporting
the Department of Defense as well as civilian, government and commercial clients
– announced the acquisition of John J. Mullen Associates, Inc., a
Virginia-based, employee-owned company providing maritime engineering and
program management for military and commercial customers.
