Holland & Knight's Mid-Atlantic M&A Team Represents Clients in Three Major Transactions

WASHINGTON, D.C. – Holland & Knight has completed three deals on behalf of Argon ST, Multimax Incorporated and CAS, Inc., clients of the firm. These transactions represent three of the six deals Holland & Knight's Mid-Atlantic M&A Team expects to close in the coming weeks.

A team led by Virginia-based partner Michael M. Mannix and supported by Adam A. August, represented Argon ST (NASDAQ: STST) in a definitive merger agreement to acquire San Diego Research Center Incorporated for $41 million. SDRC is a rapidly growing leader in wireless communications networks and has achieved significant growth by addressing challenging and important opportunities in the defense sector.

Washington D.C.-based partners William Mutryn, David Matuszewski and Paul Pompeo, with support from associate Courtney Kamlet represented Multimax Incorporated in an agreement to be acquired by Netco Government Services. Netco will retain the Multimax name and all services will be marketed and delivered under the Multimax brand. With the acquisition the combined company, which will be headquartered in Herndon, Virginia, will have revenues over $300 million and more than 1,000 employees servicing 50 states. Multimax is the premier resource for performance-based enterprise IT and communications services and solutions supporting the Department of Defense, federal civilian agencies, and state and local government entities.

Holland & Knight's Corporate/M&A practice group assisted client CAS, Inc. with the sale of the company to EDO Corporation. CAS was a privately-held Huntsville, Ala.-based company that provided the Department of Defense with engineering services, logistics and support, and weapons-systems analysis. The sale of CAS was valued at approximately $180 million. Washington, D.C. area-based partners William Mutryn, Sam Kastner, Jane Tam, Jocelyn Brittin, Paul Pompeo and Orlando partner John Dierking assisted with the sale of CAS, with support from associates Shannon Knotts, Warner Kuppin and Maria Lumb from the firm's Washington, D.C. and Northern Virginia offices.
