Hospitality Industry: Another Twist in Purchasing a Florida Hotel Property: New Notification Requirements After a Change of Ownership or Control Alert - October 13, 2008

Purchase and sale transactions are generally structured in one of two ways: as an asset sale, where there is a direct transfer of ownership of the property, or as an entity sale, where there is a change of ownership or control, direct or indirect, of the property owning entity. Early in 2008 in Florida, the state Legislature added another twist to structuring the purchase and sale of hotel properties: changes in ownership of entity transactions now generate disclosure requirements and potential penalties if the property owner fails to comply.

WASHINGTON, D.C. – Former Congressman Gerry Sikorski (D-MN), chair of Holland & Knight's Government Section, and Rich Gold, chair of the firm's Public Policy and Regulation Practice Group, have been recognized by The Hill newspaper as two of Washington, D.C.'s top 50 lobbyists.

The list, which appears in the April 25 issues, includes those whose names "reflect the greater importance Democratic lobbyists play while not forgetting the Republications in town who maintain a major role in crafting legislation."

Since 2000, under the leadership of Gold, Holland & Knight has secured more than $3.4 billion in appropriations for its clients. Gold has been named to numerous top lawyer listings including Chambers USA – America's Leading Business Lawyers, Washington SmartCEO, Washington Business Journal, Best Lawyers in America, National Journal, Washingtonian and Super Lawyers. Sikorski, who served in the U.S. House of Representatives from 1983-1993, has also been named to top listings including Best Lawyers in America, National Journal, Washingtonian and Super Lawyers.
