The Federal Trade Commission has announced this year's revisions to the thresholds under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR), which will apply to all transactions closing on or after February 27, 2012. The FTC is required to revise the HSR thresholds annually based on changes in the gross national product.

There has been an almost 50 percent increase in reported data security breaches since 2007, including financial losses to the affected companies. To combat this trend, the Payment Card Industry Data Security Standards (or PCI standards) were developed as a baseline safeguard that must be followed by merchants and financial institutions that handle credit card transactions. The article reviews the PCI standards, recent litigation and developments in state legislation in the area of liability and data security breaches.
