The SEC recently adopted final amendments to its rule governing how non-U.S. companies having U.S. market interest may obtain an exemption from having to comply with U.S. registration and reporting obligations. With these amendments, the SEC completes its rulemaking aimed at liberalizing the conditions under which foreign private issuers may withdraw or be exempt from registration under the U.S. securities laws.

Andrew Holmes Joins Holland & Knight’s Structured Finance Practice

NEW YORK – Holland & Knight today announced that Andrew Holmes has joined the Structured Finance Group within its Business Law Section, as a partner in the firm’s New York office.

Holmes’ practice has a U.S. and international asset-based finance focus, including lease, loan, project and securitization transactions of transportation, telecommunications and industrial equipment, facilities and other capital assets, as well as co-generation and power, waste-to-energy and fuel production projects. Holmes recently represented a Fortune 50 company in connection with a construction loan and the lease financing of an auto parts production facility to be located in Mexico. He is also a longtime member of the Equipment Leasing Association.

“Andy’s expertise in all aspects of asset securitization, structured finance, corporate transactions and leasing will enable us to significantly expand the scope of our practice, particularly in the areas of middle-market to big ticket equipment leasing,” said John Pritchard, Structured Finance Practice Group Leader. “He will play an integral role in the firm’s delivery of high-caliber legal services to our clients.”

Holmes joins the rest of the firm’s Structured Finance team including, John Pritchard, Bill Piels, Tom Zimmer, Audrey Sung, Rick Crowley, Nancy Hengen, Jovi Tenev, and MJ Spelliscy.

Prior to joining Holland & Knight, Holmes spent a decade as Of Counsel at Paul, Hastings, Janofsky & Walker LLP, as a member of the Corporate Department and the Project Finance & Equipment Leasing Practice Group. Holmes was also Of Counsel at Mudge, Rose, Guthrie, Alexander & Ferdon until 1995.

Holmes received an AB from Princeton University with a certificate of distinction in American Studies and a JD from the University of Virginia School of Law in 1981.  He is admitted to the bar in both New York and in Connecticut, where he also will focus his practice.
