ORLANDO, Fla. – Lou Conti, a partner in the Orlando and Tampa offices of Holland & Knight, has been appointed an adjunct professor of law at the University of Florida Levin College of Law in Gainesville.
Conti will be co-teaching a course for the Fall semester entitled "Business Documents Drafting." It is an advanced level course limited to 25 students and aimed at providing students with the practical substantive and drafting skills necessary in a transactional business practice. The course will cover entity selection and drafting organizational documents, management and employment agreements, shareholder/partnership/LLC agreements, the securities laws and documents affecting venture capital financings and securities registrations and exemptions, merger & acquisition agreements, asset and stock sale agreements, and drafting and negotiating business contracts. The course is the first of its kind being taught at the law school.
Conti is a member of Holland & Knight's Public Companies & Securities Group, leader of the firm’s national Technology & Emerging Companies Team, and coordinator of the firm’s Canada Initiative. His practice includes mergers and acquisitions, corporate and partnership equity and debt financings, asset based financings, leveraged buy-outs, mezzanine and subordinated debt transactions, public and private equity placements, venture capital investments, corporate and partnership recapitalizations, and LLC, partnership and joint venture transactions.
