Business and Tax: Alert - August 27, 2008

In a significant, taxpayer-friendly pronouncement, the IRS ruled that a total return swap, the return of which is calculated by reference to a broadly based real estate index, does not give rise to a U.S. real property interest (USRPI) for purposes of Section 897. Rev. Rul. 2008-31 is noteworthy for non-U.S. persons investing synthetically in U.S. real estate related assets for at least two reasons which will be discussed, along with other issues, in this alert.

Holland & Knight's Tommy Boroughs Appointed Chair of the Florida Energy Commission

ORLANDO, Fla. – Tommy Boroughs, a partner in the Orlando office of Holland & Knight, recently was named chair of the Florida Energy Commission (FEC), a nine-member panel charged with designing a well-rounded energy policy for securing Florida's energy future. Boroughs was appointed by the president of the Florida Senate and the speaker of the Florida House of Representatives. The FEC is currently developing its first series of energy recommendations and will present them in December to the Florida Legislature.

Boroughs, head of Holland & Knight's Florida Land Use Team, focuses his practice on the areas of zoning and land use regulatory matters together with real estate acquisition and sales. He has a history of involvement both in his community and throughout the state. He is currently a member of the Board of the Orlando Utility Commission, serving as president from 2004-06, and served as chair of the Policy Maker''s Council of the American Public Power Association from 2005-06. Boroughs also is a member of the Advisory Board of the Florida Solar Energy Center and was appointed by former Florida Governor Jeb Bush to the Florida Energy Forum.
