There has been considerable debate on Capitol Hill this year over the taxation of a Carried Interest in the context of a Private Equity Fund (PEF). At the same time, there has been public discussion of the role that the private equity industry will have in our economic recovery. In the realm of estate planning, PEF Principals possess unique opportunities to shift the performance of their interest in a PEF to future generations – potentially resulting in very significant estate tax savings. This article will review the basic PEF structure, describe the nature of a Principal’s interest in a PEF and indentify wealth transfer techniques that should be considered by a Principal.

Intellectual Property and Technology: Alert - November 17, 2009

Governor Patrick’s Office of Consumer Af¬fairs and Business Regulation announced on November 4, 2009, that it has filed the final Massachusetts ID Theft Regulation, also known as 201 CMR 17:00. The goal of Regulation 201 is to help combat the loss of personal information; the most significant change is a require¬ment that covered entities amend existing agreements that they have with third-party service providers to include language requiring these providers to implement and main¬tain “appropriate” security measures for the protection of personal information.

Two Holland & Knight Attorneys Invited To Meet With Chinese Ministry of Commerce and Chinese Consumer Manufacturers in China

Portland, OR – July 14, 2009 – Holland & Knight is pleased to announce that two of its attorneys were invited by the China Council for the Promotion of International Trade (CCPIT) to participate in a week long trip around China, including a meeting with the Chinese Ministry of Commerce last week.

While in China, attorneys Christopher Angius and Tiana Zhang made presentations on how to enhance the quality of products in China and American reliability in Chinese consumer goods. The invitation is part of Chinese Central Government’s initiative to improve the quality and safety of Chinese products for the export market, and to attempt to address the adverse consumer sentiment in the U.S. based on the recalls of Chinese consumer products in recent years. Holland & Knight has been identified by CCPIT as its strategic partner in these efforts.

"This is a critical time for Chinese manufacturers who wish to make the jump to major regional and global players. To do so, these enterprises must overcome growing concerns among American consumers about the quality and safety of Chinese products; no longer will low prices alone lead to an increase in market share," said Christopher Angius, partner in Holland & Knight's Portland office and leader of the firm’s China Risk Avoidance Team. “This trip is an exciting opportunity for Holland & Knight to participate in the Chinese government’s efforts to address these challenges, allowing Chinese manufacturers to take their place among leading regional and global enterprises. The interests of both the American consumers and Chinese manufacturers will be served by the success of these efforts."

Angius has 28 years experience representing consumer product manufacturers worldwide. He is a graduate of Harvard Law School. Zhang is an associate in Holland & Knight’s San Francisco office and is a member of the firms China Risk Avoidance Team. She graduated from China Foreign Affairs University and the University of Texas School of Law.
