There has been considerable debate on Capitol Hill this year over the taxation of a Carried Interest in the context of a Private Equity Fund (PEF). At the same time, there has been public discussion of the role that the private equity industry will have in our economic recovery. In the realm of estate planning, PEF Principals possess unique opportunities to shift the performance of their interest in a PEF to future generations – potentially resulting in very significant estate tax savings. This article will review the basic PEF structure, describe the nature of a Principal’s interest in a PEF and indentify wealth transfer techniques that should be considered by a Principal.

Labor, Employment and Benefits: Alert - November 10, 2009

On October 28, 2009, President Obama signed into law a Defense Department Fiscal Year 2010 authorization bill that expands the Family and Medical Leave Act’s (FMLA) requirements with respect to “qualifying exigency leave” for family of military members and “military caregiver leave.” Specifically, qualifying exigency leave now applies to employees who have family members on active duty military service in a for­eign country, and military caregiver leave applies to family members of veterans, not just active duty service members. Although the law does not specify an effective date, it ap­pears to take effect immediately.

Kenji Tatsugi and Scott Beizaie Join Holland & Knight's Los Angeles Office, Strengthening the Firm's Japan Practice

Los Angeles – October 5, 2009 – Holland & Knight is pleased to announce that Kenji Tatsugi and Scott Beizaie have joined the firm's Los Angeles office as partner and senior counsel, respectively.

Tatsugi and Beizaie will concentrate their practice in International and Cross Border Transactions with a specific emphasis on the firm's Japan practice, which represents Japanese companies and financial institutions in a broad range of U.S. legal matters.

"We are delighted to have Kenji and Scott on board and as part of our Japan practice," said Frank Costello, partner of Holland & Knight's Los Angeles office. "The firm has a history of more than 50 years of servicing Japanese companies in the U.S. and both Kenji and Scott have extensive experience in this area. Their knowledge and expertise in the Japan market will bring valuable depth to this practice at a time when it is accelerating."

Before joining Holland & Knight, Tatsugi was a partner and head of the Japan Practice Group at Carlsmith Ball in Los Angeles, where he represented restaurants and hotels, international trading companies, manufacturers and major Japanese companies and their U.S. subsidiaries. More specifically, his work with Japanese businesses included distribution contract litigation, employment consulting and dispute resolution, real estate investment planning and litigation, securing intellectual property rights, cross border business planning, visa and financing matters. Tatsugi also ran his own law firm for 10 years and is fluent in Japanese.

Beizaie was also a partner at Carlsmith Ball, where he practiced in the areas of corporate, general business, and real estate. He has handled retail and industrial leases and business transactions including bank financing and acquisitions and mergers of businesses. Beizaie has also counseled clients with a multi-national presence regarding the structuring of businesses and transactions and is fluent in Farsi (Persian).
