Attorney-client privilege can be established, used, maintained, waived and lost in the context of corporate activities such as: due diligence, risk assessments, compliance and ethics program activities, internal audits and investigations and disclosures to government agencies or enforcement authorities. It is frequently the company's inside counsel or outside business lawyer to whom clients turn in the context of the significant activities listed above. Decisions made at the initial stages can affect the company's ability to maintain the confidentiality of its information and the activities it conducts. Business lawyers and their in-house colleagues need to have an understanding of how the attorney-client privilege works in these contexts, how it must be asserted, and how easily it can be waived or lost. This seminar will help provide the necessary background to make prudent decisions to protect the company's interests in these situations.
