Stephen J. Weiss practices in the areas of insurance, corporation and securities law. In the area of business insurance, Mr. Weiss assists purchasers negotiate their directors’ and officers’ (“D&O”) liability, employment practices liability, E&O and professional liability insurance policies. In addition, he represents policyholders in resolving coverage issues and controversies with insurers. Regarding corporation and securities law, he has represented corporations in public offerings of equity and debt securities, private placements and other exempt offerings and proxy solicitations. He has provided expert witness testimony concerning the Federal securities laws in judicial proceedings. Mr. Weiss has represented public and private corporations in mergers, acquisitions, dispositions and corporation restructurings.
