Overview

Louis T. M. Conti is a mergers and acquisitions (M&A) attorney in Holland & Knight's Tampa and Orlando offices. Mr. Conti's practice focuses on complex domestic and cross-border M&A and joint ventures; corporation and alternative entity governance advice; and business entity disputes (business divorce). He also serves as a special master, mediator and arbitrator in corporation, limited liability company (LLC) and partnership disputes, as well as an expert witness in connection with Florida corporate law, LLC law and partnership law cases around the state.

Mr. Conti is the current chair of the American Bar Association (ABA) Committee on LLCs, Partnerships and Unincorporated Entities. He is also the incoming chair of the Joint Editorial Board on Uniform Unincorporated Organization Acts (JEBUUOA), a collaborative body between the Uniform Law Commission (ULC) and ABA Business Law Section that monitors and updates laws governing partnerships and LLCs, including the Revised Uniform Partnership Act (RUPA), Revised Uniform Limited Partnership Act (RULPA) and Revised Uniform Limited Liability Company Act (RULLCA). Additionally, Mr. Conti is a founding director and the current vice president of the American College of LLC & Partnership Attorneys.

Previously, Mr. Conti served as chair of the Business Law Section (BLS) of The Florida Bar from 2009 to 2010 and received the BLS Outstanding Member of the Year Award in 2013. He was also chair of the Tax Section of The Florida Bar from 2000 to 2001 and the recipient of the section's Gerald T. Hart Outstanding Tax Attorney of the Year (2011-2012).

Mr. Conti was a Uniform Law Commissioner representing the state of Florida at the ULC from 2011 through 2016. He chaired The Florida Bar drafting committees for the Florida Partnership Act, Florida Limited Partnership Act, Florida Revised Uniform LLC Act and new Florida Protected Series LLC Act provisions, which are being added to the Florida Revised LLC Act in July 2026. Mr. Conti also served on the ULC drafting committee that created the Uniform Protected Series LLC Act.

In addition, Mr. Conti was an adjunct law professor at the University of Florida Levin College of Law (2006-2018) and was an instructor at the Advanced Judicial College for Florida Circuit Court Judges (2012-2015). He has been a speaker at the Florida Annual Federal Securities Institute for many years and has spoken at various ABA and Florida Bar Continuing Legal Education (CLE) programs for the past 30 years.
