Anne Hamblin Schiave is a business lawyer with more than 30 years of experience representing public and private companies in the mergers and acquisitions, corporate governance and securities areas.
Ms. Schiave represents buyers and sellers of businesses. She negotiates, structures and documents taxable transactions such as purchases of stock or assets, acquisition of product lines, as well as tax-free mergers, spin-offs and leveraged buyouts. She also assists clients in acquiring businesses by formation of joint ventures and by licensing of intangible assets. In her merger and acquisition practice, Ms. Schiave works with Fortune 500 public companies, closely held private businesses, and sophisticated investor groups.
Ms. Schiave counsels a variety of businesses with respect to legal matters in the financing, operations and extraordinary transactions of corporations, partnerships, limited liability companies and joint ventures. She works with clients concerning organization and dissolution of the business, shareholder agreements and buy-outs, corporate governance, officer and director fiduciary duty and indemnification, take-over planning, distribution systems and risk management.
Ms. Schiave helps clients raise capital from both the public and private, debt and equity markets by representing issuers of securities in transactions that are both registered and exempt from registration under the Securities Act of 1933. She represents issuers and borrowers in municipal and industrial development bonds transactions. She also counsels clients with respect to reporting and compliance obligations under the Securities Exchange Act of 1934 and the Sarbanes-Oxley Act of 2002.
