Adam Charles Ritter is a Partner in the Business Law Department of the Los Angeles Office of Holland & Knight, and practices international business and corporate law. Mr. Ritter participates in the Firm's mergers and acquisitions, corporate finance, high-tech and emerging growth company, and cross-border transaction practices. Mr. Ritter serves both domestic and foreign clients, utilizing his Spanish and Mandarin Chinese language capabilities as appropriate. Mr. Ritter represents overseas private and publicly-held companies in connection with their corporate and business activities in the United States. Mr. Ritter assisted domestic and foreign clients to successfully conclude, among others, the following transactions:
- mission-critical contracts between companies and their strategic partners
- long-term, multi-million dollar distribution agreements for Taiwan-based manufacturers and their U.S. distributors
- a $100 million dollar plus distribution financing arrangement between a China-based manufacturer and its U.S. distributor
- multi-million dollar consumer electronic product development and licensing agreements (one between the U.S. subsidiary of a European client to acquire certain proprietary technology owned by a company in the U.S., and the other to develop a new product therefrom and sell it to one of Korea's top conglomerates)
- a U.S. joint venture between two Japanese manufacturers
- multi-million dollar international private placements of common and preferred stock
- a reorganization of seven U.S.- and foreign-incorporated subsidiaries of a Taiwan-based multinational corporation
- the acquisition of one company for another that counted among its principals prominent CEO's residing in the US and Hong Kong
- assisting an Internet company to structure its operations in China
