Bryan Jung is a member of Holland & Knight’s Financial Services and Structured Finance and Securitization Practice Groups. He focuses his practice primarily on structured and corporate finance transactions, including asset securitization, equipment leasing, and bank, finance company, and other institutional lending transactions.


In securitization transactions, Mr. Jung has served as counsel to both issuers and purchasers of asset backed securities involving a variety of underlying assets, including electric utility stranded costs, automobile retail installment sales contracts, automobile dealer warehouse loans, and residential and commercial real estate mortgage loans.


In corporate finance transactions, Mr. Jung represents banks and other financial institutions in a wide variety of secured and unsecured transactions, including senior and mezzanine debt, private placements and revolving credit facilities.


Recent Transactions
• Structured and negotiated $25 billion non-bank sponsored mortgage loan warehouse commercial paper conduit facility administered by a leading mortgage company on behalf of issuer/servicer/administrator. Facility had many “firsts” (now replicated throughout the market):
• First non-bank sponsored multi-seller mortgage warehouse commercial paper facility;
• First to be backed by residential and commercial mortgage loans and residential mortgage warehouse lending receivables; and
• First mortgage warehouse conduit facility to utilize partial liquidity support for its commercial paper and to issue extendible commercial paper and medium term notes.
• Representation of multi-billion dollar asset backed commercial paper issuer supported by automotive retail installment sale contracts, automotive leases, and automotive dealer loans.
• Represented purchaser of over $3,000,000,000 in asset backed debt securities supported by automobile lease receivables portfolio.
• Represented U.S. subsidiary of one of the world’s three largest scrap metal recyclers in $100,000,000 financing relating to the acquisition of scrap metal recycling companies in multiple U.S. jurisdictions.
• Represented private equity fund in $65,000,000 financing relating to the acquisition of manufacturer of vehicle sealing systems for doors, windows, trunks, lift gates, sunroofs and hoods with subsidiaries and assets in U.S., Canada, and Mexico.
• Represented purchaser in $64,000,000 financing relating to the acquisition of nuclear medicine pharmacy companies in multiple U.S. jurisdictions.
• Represented purchaser of over $2,000,000,000 in asset backed debt securities supported by portfolio of automobile installment sales contracts.
• Represented lessee in exercise of buy-out option relating to $100,000,000 equipment leveraged lease transaction.
• Represented seller/originator in $86,000,000 securitization of locomotive and rolling stock lease receivables.
• Represented seller of $70,000,000 of trust certificates backed by residual interest of automobile installment loan securitization transaction.
• Represented borrower in $60,000,000 financing secured by supply contracts relating to electric co-generation facility.
• Represented Tier 1 automotive supplier as debtor-in-possession with respect to $40,000,000 Junior and Senior DIP financing.
• Represented borrower in $20,000,000 letter of credit facility used to support borrower’s obligations under natural gas and electricity forward and spot trades as market maker.
• Represented seller/originator in various securitizations/participations of golf course loans aggregating $95,000,000.
• Represented purchaser in $25,000,000 financing relating to the acquisition of manufacturing company with operations in the U.S. and Canada.
