Benjamin Volinski is a member of the Business Law Section who primarily practices in the firm’s Syndication Group, which provides advice and counsel to various participants in industries that receive assistance from the availability of federal and state income tax credits, including the renewable energy affordable housing, historic rehabilitation and new markets and renewable energy industries. His clients include sponsors of renewable energy and affordable housing investment funds, securities brokerage firms that sell interests in such funds, corporate investors who acquire such interests and developers of renewable energy projects and affordable housing as well as other industry consultants. In all cases, clients are seeking advice on matters of securities, partnership, and tax law.
In addition to his work in tax credit assisted industries, Mr. Volinski represents issuers, investors, brokers and other participants in the broader syndication industry. In that capacity, he has registered numerous securities offerings with the Securities & Exchange Commission, worked extensively with state securities law administrators, prepared scores of private placements under Regulation D and other exemptive provisions, and negotiated many direct investments by single investors who acquire entire deals for their own account. In addition to involvement in the initial organizational and offering process, Mr. Volinski has also been actively involved in numerous re-syndications, subsequent consolidations, or roll ups, of partnerships into master limited partnerships and/or real estate investment trusts, workouts of distressed partnerships, both friendly and hostile tender offers, other contests for control of existing partnerships, other activities in the secondary market for limited partnership interests, and the winding up and dissolution of partnerships that have reached the end of their legal lives or otherwise disposed of all their assets.
In November 1968, Mr. Volinski was commissioned as an officer in the United States Navy from the Navy Officer Candidate School in Newport, R.I. After graduating from Submarine School in New London, Conn., he served for three years on USS Clamagore (SS343), a diesel submarine operating out of the submarine base in New London. Mr. Volinski received an honorable discharge in 1972.
