Carl Neumann’s law practice is concentrated in the areas of business and transactions, mergers and acquisitions, family business and ownership succession, and tax and estate planning.
Mr. Neumann’s experience on the corporate level includes, but is not limited to, negotiation and drafting transaction arrangements for numerous purchases and sales of businesses of all sizes and in many different industries, including taxable purchases and sales of stock and assets, tax-free mergers, spin-offs, and leveraged buyouts. In addition to corporate transactions, Mr. Neumann is general counsel to a number of family and closely-held businesses, providing tax, contracts, and general business law counseling, including litigation avoidance and management, and drafting of employment, buy/sell, distributor, and other contracts.
Mr. Neumann has experience in planning and drafting stock-based incentive plans, as well as non-qualified deferred compensation arrangements. He has structured tax and estate planning in connection with his ownership succession planning services, which include advising corporations and their shareholders in transactions, including buy/sell agreements, corporate redemptions, use of ESOPs, and family limited partnerships.
Mr. Neumann has spoken frequently and written articles on the subject of management and ownership succession in family and closely-held businesses. He was an instructor of an eight-hour course, "Business Succession Planning," that is sponsored by the Illinois CPA Society.
