C. Paul Dagle has represented nonprofit and private sector developers of low-income and affordable housing financed by the syndication of federal low-income housing tax credits; syndicators of low-income housing tax credit projects; issuers in public and private common stock and convertible debt securities offerings; and corporations in connection with mergers, acquisitions, and asset purchases of businesses.
Mr. Dagle has negotiated complex partnership agreements relating to low-income housing tax credit projects and long-term and revolving debt financing. He has organized partnerships and start-up companies and given general advice to such entities concerning their organization and operation.
Mr. Dagle has written and spoken on a wide range of partnership, corporate and securities related topics, including the low-income housing tax credit program; the HOME investment partnerships program; securities issues related to partnership offerings; corporate buy-sell agreements; federal and state securities exemption and registration procedures; and third-party legal opinions.
