David L. Perry Jr., is a leading corporate and securities attorney whose practice focuses on corporate finance, securities, and mergers and acquisitions. Mr. Perry represents public and privately-held companies in capital markets activities and in acquisitions and sales of businesses and assets. Mr. Perry also handles the structuring of partnerships, joint ventures and strategic alliances.
Mr. Perry handles a wide range of corporate finance transactions for publicly traded issuers, including Rule 144A offerings of high yield, convertible and other debt and equity securities, exchange offers and consent solicitations, and other complex transactions. He has worked on numerous financings of significant size, representing issuers involved media, transportation, biotechnology and other industries. He also counsels public companies on the full range of securities law compliance matters, including disclosure issues and reporting obligations.
Mr. Perry also represents early stage and emerging issuers in private capital raising transactions, including venture capital financings. He handles a wide range of general corporate work, including business agreements of many types. Mr. Perry counsels boards of directors and board committees on strategic and governance matters.
