Elias Matsakis’ practice transcends multiple legal disciplines and he leads teams of Holland & Knight attorneys in complex corporate finance and merger and acquisition transactions for both business and not-for-profit entities in the healthcare, hospitality, real estate, and finance industries. Mr. Matsakis is retained for his judgment and for his capability to successfully negotiate and complete complex transactions or resolve complex commercial disputes that require coordination of legal specialists in multiple disciplines. The breadth and sophistication of the legal matters handled has enabled Mr. Matsakis to help clients manage regulatory and technological change and to attract the requisite capital to support their growth.

In the healthcare industry, Mr. Matsakis has counseled public and not-for-profit hospital boards and strategic planning officers on a variety of compliance and development matters. He developed the prototype manual for the nation’s leading hospital management firm and has served as lead counsel in a variety of hospital physician affiliations and integrated delivery systems. Additionally, he regularly counsels physician groups and hospitals on Medicare compliance and managed care issues. Representative engagements include:

  • Representation of various cardiology and surgical specialty groups in connection with the sale of their practices and in the establishment of hospital physician provider based joint ventures.
  • Representation of 80 physician multi-specialty group in the sale of the practice and in the formation of a regional health system with a community hospital.
  • Representation of the purchaser in the purchase of a 250 bed urban hospital and home health agency /representation of health system in the merger of two catholic health systems/representation of physicians in the purchase of small community hospital.
  • Representation of surgeon investors in the establishment of a new spine specialty hospital in Texas, counseling various physician owned hospitals under development as to potential loss of the 'whole hospital exception."
  • Representation of hospitals and health systems in connection with their physician alignment strategies and regulatory compliance, including practice acquisition, provider based joint ventures, real estate joint ventures, physician management agreements, surgery center developments and the establishment of PHO's and in the negotiation of long term real estate development and partnership agreements.

Mr. Matsakis has assisted large not-for-profit organizations in their corporate governance and conflict policies. He serves as general counsel for one of the nation's largest on line educational content providers.

Mr. Matsakis' leadership abilities are recognized both within the firm and in his community. He currently serves as President of the Holland & Knight Charitable Foundation, a Trustee of the Glenbrook Educational Foundation. He recently served as the Executive Partner of the firm's Chicago office and as a member of its Directors Committee. He also served 6 years as chairman of the District 225 finance committee, a school district of 5,000 students.
