Jerry Holisky is a seasoned general business lawyer who concentrates his practice on the legal concerns of closely-held companies and their owners. He is frequently involved in disputes over the ownership and management of closely-held businesses, representing either the majority owners and their companies, or persons holding a minority interest. In this role, Mr. Holisky will often structure corporate buy-outs, squeeze-outs, freeze-outs and other similar transactions. He is experienced in all aspects of practice under the Illinois Business Corporation Act.
Mr. Holisky also represents closely-held companies in connection with business formations, mergers, acquisitions, and a wide range of other contracts and business relationships. He often functions as outside general counsel for closely-held businesses, serving as the company’s principal legal adviser and initial point of contact at Holland & Knight.
Mr. Holisky has extensive experience in the negotiation and preparation of a wide range of legal opinions.
In all areas of his corporate practice, Mr. Holisky draws on the experience and assistance of other Holland & Knight lawyers as necessary to satisfactorily represent the client’s interests and make available to the client the full range of legal and business services that may be required during the life cycle of a business entity.
In addition to his general corporate practice, Mr. Holisky maintains a niche practice representing privately-held registered investment advisory firms, both with respect to general corporate matters and the securities law issues which arise under the Investment Advisers Act of 1940 and similar state laws.
