Michael G. Taylor has an extensive background in corporate and securities transactions, with a primary emphasis on securities, mergers and acquisitions, venture capital and other corporate finance, and corporate governance. He has represented issuers and underwriters in public offerings and private placements, including Rule 144A offerings; counseled buyers and sellers of businesses, in both the public and private markets, on mergers, acquisitions and dispositions; and advised public companies on 1934 Act disclosure matters.
Mr. Taylor has significant experience in representing emerging growth companies, having been counsel to many of them in financing transactions, technology acquisitions and general corporate matters. He also has represented several venture capital funds and "angel" investors. Additionally, Mr. Taylor has experience counseling boards of directors with respect to their fiduciary duty and corporate governance obligations.
Prior to joining Holland & Knight, Mr. Taylor served as the Assistant General Counsel of an early stage medical technologies company. He had previously practiced with law firms in Miami and California. While at the University of Chicago, he was a McCormick Tribune Leadership Fellow.
