Mike Zdeb is a partner in the Chicago office of Holland & Knight. His practice involves both the Business and Private Wealth practice areas in his representation of closely held businesses and their owners.

Mr. Zdeb primarily serves as counsel to closely held international and domestic businesses in the manufacturing, distribution and logistics, consulting, oil and gas services, wholesale and telecommunications industries from their inception, as their needs grow and change, through their final disposition. He counsels these entities on a broad range of issues including mergers and acquisitions, sales, complex tax planning, international operations, finance, contractual matters, sophisticated partnership and LLC allocations and asset protection strategies. He has significant experience representing businesses through the merger and acquisition process and has closed transactions in excess of $1.2 billion dollars in recent years.

Mr. Zdeb assists owners of businesses in shareholder and corporate governance disputes. His experience includes matters involving shareholders, members in limited liability companies, as well as partnership disputes. Mr. Zdeb utilizes his own business and tax experience and works with a team of experienced valuation experts and litigators to ensure the best possible outcome for his clients. More often than not, this has required creative settlements and resolutions that take into account the specific needs of the client and the financial and other dynamics of the business.

Mr. Zdeb works with high net worth individuals and business owners to reach their estate planning goals and design succession plans. He has assisted clients in gifting, estate tax analysis and minimization, trust arrangements and has advised clients on numerous other estate planning techniques. He participated in adoption of the total return trust concept in Illinois.
