Meredith O'Leary is an associate in the Public Companies and Securities Practice. Ms. O'Leary's practice focuses on executive compensation and employee benefits matters. She has advised a wide variety of US and non-US clients on executive compensation and employee benefits issues in the context of public and private mergers and acquisitions, initial public offerings and other corporate transactions.
In particular, Ms. O'Leary counsels clients with respect to issues that arise in the design and implementation of management equity arrangements, annual and long-term incentive programs, employment agreements and change in control, retention and severance arrangements, design, qualification and drafting of pension, 401(k), profit sharing and other qualified plans, corporate mergers and acquisitions and plan transfers, mergers and terminations, fiduciary matters, executive compensation, nonqualified deferred compensation arrangements, welfare benefit plans, ESOP's and other forms of employee ownership.
