Rodney H. Bell leads the firm's Securities and Public Companies Practice in South Florida and is recognized as one of Florida's leading lawyers in the areas of securities, mergers and acquisitions, and corporate governance. As a trusted business advisor, Mr. Bell regularly counsels corporate clients, Boards of Directors and Audit Committees on their most complex and sensitive matters.

Mr. Bell has extensive experience in corporate governance matters and was recently recognized by Expert Guides as the leading corporate governance attorney in South Florida. Mr. Bell has led numerous SEC and internal investigations as both company counsel and independent counsel to audit committees. As part of his governance practice, he regularly advises clients on disclosure, compliance and governance matters arising out of Securities and Exchange Commission regulations, stock exchange rules, and corporate laws.

Mr. Bell's mergers and acquisition experience involves the full range of M&A transactions, including public company mergers, private company acquisitions and dispositions, strategic investments, going private transactions, special committee representations, tender offers and proxy contests. Mr. Bell frequently represents private equity firms in their acquisition and disposition transactions and also represents technology companies in licensing, joint venture and other business development arrangements.

Mr. Bell's securities experience includes public offerings, private placements, venture capital transactions and PIPEs. His practice involves a number of industries including pharmaceutical, healthcare, retail, restaurants, transportation and software.

Mr. Bell is listed in The Best Lawyers in America in the areas of Mergers & Acquisitions, Corporate, Securities, and Corporate Governance. Similarly, he was identified by Chambers USA as one of Florida's leading lawyers in Corporate and Mergers & Acquisitions. Mr. Bell has been recognized as one of South Florida’s most active deal-makers by the South Florida Business Journal and the Daily Business Review and was recognized for being a leading attorney in the areas of corporate finance and corporate governance by South Florida Legal Guide. In addition, Mr. Bell received the Most Effective Lawyer award from the Daily Business Review for his representation of Watkins Motor Lines in their $780 million asset sale to FedEx.
