Robin Marie Taylor

Robin M. Taylor is Senior Counsel in Holland & Knight's Mergers & Acquisitions Group. She is resident in the firm's Northern Virginia office. Ms. Taylor's practice focuses on technology companies and early and mid-stage companies. She has structured and negotiated complex commercial transactions for technology companies, including joint ventures, licenses, sales partnering arrangements, and mergers and acquisitions. Ms. Taylor has counseled corporate officers, tax-exempt organization fiduciaries, and executive personnel on a variety of tax, securities, litigation, financial, and other regulatory issues. She has served as tax counsel to an international labor union, its affiliated pension and welfare funds, and other tax-exempt organizations. Ms. Taylor is also a Certified Public Accountant with an advanced degree in tax law.

Ms. Taylor has practiced law for over 20 years and has considerable experience in matters relating to business transactions, taxation, regulatory compliance, related aspects of intellectual property law, and employment law. She is an experienced negotiator, and her experience in these areas includes deal making, contract formulation, and conflict resolution. She has, in addition, represented clients in litigation matters and provided advice on litigation planning and management.

In business transactions, Ms. Taylor has had extensive experience in commercial transactions, licenses, contracts, taxation, and federal and state regulatory compliance. She has substantial experience in business entities and operational structures, mergers and acquisitions, and debt and equity financing. In this aspect of her practice, she has counseled clients on complex commercial transactions and in structuring transactions to comply with tax and regulatory requirements. She has had extensive experience negotiating and closing investments in limited partnerships, loans, and other equity vehicles. She also has had extensive experience working with lenders and other financing entities in matters of financing, leasing, and purchasing, particularly regarding investment real estate.

Ms. Taylor is an experienced tax lawyer. She counsels clients on a wide range of tax matters, particularly the tax implications of business transactions and the strategic aspects of deal structure. She regularly represents clients before the IRS in resolving complex compliance issues.

Ms. Taylor provides strategic advice on financial and business aspects of patent-related transactions and on infringement litigation. She is involved in structuring financial and operational aspects of technology ventures, licensing, and research/joint venture agreements.

Ms. Taylor also counsels clients on employment law, including ERISA compliance, as well as on employment and consulting agreements, executive compensation, and employee benefits.

Prior to joining Holland & Knight, she was a co-founder of the law firm of Millstein & Taylor, PC and was previously a partner in another Washington, D.C. law firm.
