Stephen A. Bogorad is a Partner in Holland & Knight's Mid-Atlantic Litigation Group. Mr. Bogorad is a trial lawyer and appellate advocate engaged in the firm's commercial litigation and bankruptcy practices.
Mr. Bogorad practices before state and federal trial and appellate courts and arbitration panels in the area of business litigation. In real estate related matters, he has litigated partnership disputes, commercial landlord-tenant disputes, contract disputes, tortious interference claims, brokerage disputes, lender liability claims, condemnation and inverse condemnation actions, partition actions, and title insurance disputes. Mr. Bogorad has defended general partners and corporate officers against suits filed by disgruntled limited partners and shareholders. He has also litigated disputes concerning the enforceability of domestic and international arbitration awards, and complex business disputes in the health care, hospitality and telecommunication industries.
Mr. Bogorad also practices regularly before the bankruptcy courts, where he represents secured lenders, commercial landlords, equipment lessors, and other creditors and interested parties in virtually all aspects of bankruptcy cases. Mr. Bogorad has experience in Chapter 11 cases involving office buildings, hotels, recreational facilities, multifamily housing, residential land development, mixed-use projects, manufacturing facilities, retailers, health care providers, government contractors, construction contractors, the airline industry, and telecommunications companies.
Mr. Bogorad also regularly counsels lawyers on professional responsibility issues. He counsels lawyers with respect to conflict of interest and other ethical issues, and represents and counsels lawyers with respect to legal malpractice matters, bar disciplinary cases and unauthorized practice of law issues.
Mr. Bogorad's current and recent matters include the following:
- representation of a foreign government and an instrumentality of that government seeking to block enforcement in the United States of a $60 million foreign arbitration award that had previously been vacated
- representation of managing general partners of a real estate limited partnership in defense of a series of lawsuits by a limited partner seeking judicial dissolution of the partnership and damages in excess of $15 million for alleged breaches of fiduciary duty
- representation of a real estate developer in a dispute arising out of a joint venture over the right to control a right of first offer with respect to a shopping mall
- representation of a mortgage broker in a suit brought by another broker alleging breach of contract, breach of fiduciary duty and tortious interference claims
- representation of real estate developer in appeal of municipality's refusal to allow developer to reinstitute rental use of apartment project after developer obtained site plan approval to redevelop property with townhouses, but later decided to abandon redevelopment plans in light of market changes
- representation of a hospitality company in Chapter 11 case of co-owner of a casino
- representation of prospective purchaser of industrial property from Chapter 11 debtor
- representation of numerous defendants in preference and fraudulent conveyance actions in bankruptcy cases around the country
In the community, Mr. Bogorad has coached his sons' elementary school soccer and middle school basketball teams. He is currently the Manager of the Potomac Kiwanis Soccer Club, a youth soccer club in Arlington, Virginia serving more than 500 children each year.
