Tom Kinasz concentrates his practice on federal and state taxation matters, counseling organizations, individuals and businesses on a wide range of taxation issues, including income tax planning, wealth conservation, executive compensation, and charitable giving. He is a frequent contributor to tax and business-oriented seminars for professional and civic groups and has discussed tax topics on various radio and television shows.

Mr. Kinasz has extensive experience in planning the organization, structure and operation of various forms of business and investment entities, particularly partnerships, corporations and limited liability companies. His projects in this area frequently involve advising individual owners regarding the income and estate tax consequences of their ownership of business organizations. Mr. Kinasz also has considerable experience in counseling individuals and businesses regarding various aspects of their executive compensation programs. Mr. Kinasz is frequently involved in the negotiation, planning and documentation of mergers, acquisitions, dispositions, restructurings and reorganizations of various types of business entities. He also has considerable experience in the tax aspects of the purchase, sale and exchange of residential and commercial real estate and the various types of entities that own and operate such properties.

Mr. Kinasz also is experienced in advising and counseling not-for-profit organizations as to federal and state tax matters. He has represented numerous organizations applying for exemption from Federal income tax and has assisted many entities seeking confirmation of exempt status under Section 501(c) of the Internal Revenue Code. Mr. Kinasz frequently advises existing tax-exempt trade associations and public charities on issues involved in the preservation of their exempt status and counsels private foundations as to the avoidance or minimization of excise tax liability.

Mr. Kinasz has frequently represented individuals, businesses and tax-exempt organizations in assorted tax controversies, audits and examinations involving the Internal Revenue Service and state revenue authorities.
