Danielle J. Kirby is an associate in the International and Cross Border Transactions Practice Group of Holland & Knight’s New York office and is a member of the firm's Energy & Clean Technology Team. Ms. Kirby's practice areas include corporate and securities law with primary focus on international mergers and acquisitions, domestic and cross-border financings, and general corporate matters.
Ms. Kirby’s experience includes mergers, acquisitions, joint ventures and licensing, distribution and other commercial arrangements for domestic companies and for non-U.S. based companies and their subsidiaries doing business in the U.S. Ms. Kirby has also been involved in domestic and cross-border loan transactions, private financings (including asset-based financings), venture capital investments, private equity acquisitions and other financing and capital markets transactions, including various private equity transactions in Latin America and Europe.
Ms. Kirby has experience drafting, reviewing and negotiating various types of agreements, including asset and stock purchase agreements, loan agreements, reorganization agreements, shareholder agreements and other corporate governance documents, as well as licensing, distribution and other commercial agreements, covering a wide range of industries, including energy, renewable energy and clean-tech manufacturing.
Ms. Kirby recently coordinated the firm's multi-office representation of a group of overseas private equity investors that acquired a U.S.-based renewable energy business, a complex asset acquisition that included substantial energy contracts, intellectual property and manufacturing inventory assets, and tax, employment, environmental and real estate issues.
Ms. Kirby also advises domestic and non-U.S. based companies on the establishment, maintenance and day-to-day activities of domestic entities and subsidiaries of non-U.S. based companies in the U.S.
In addition, Ms. Kirby represents corporate clients and their employees in a wide variety of business immigration matters, and also assists clients with certain family-based immigration matters.
Ms. Kirby has a strong international background, having lived abroad for most of her life, attending high school and college in Austria, studying in France and China, and working for considerable periods of time in Germany and Mexico. Due to these international experiences, she has attained fluency in German, Spanish and French, as well as a basic understanding of Mandarin. Her multi-cultural background, in addition to her language skills, provide Ms. Kirby with a special ability to advise clients on cross-border transactions involving multiple jurisdictions, business cultures and languages.
