Overview

Allison S. Dyer is a partner in the Atlanta office and a member of Holland & Knight's Financial Services and Public Finance Teams. Ms. Dyer's practice focuses on public finance transactions for multifamily housing, nonprofit hospitals, educational institutions and local governments. In addition, she has extensive experience with economic development and public-private partnership (P3) transactions.

Representative Experience

Ms. Dyer routinely serves as bond counsel for affordable housing transactions and has a deep understanding of federal and state laws, including tax law, involved in structuring such transactions. In addition, Ms. Dyer frequently represents financial institutions providing debt financing on tax-exempt and conventional low-income housing tax credit (LIHTC) projects throughout the United States.

Representative Transactions – Bond Counsel

 

  • Served as bond counsel in 2020 for a $75 million financing of a scattered-site multifamily housing acquisition and rehabilitation project in Savannah, Georgia, with a direct purchase construction to permanent tax-exempt loan structure
  • Served as bond counsel in 2020 for a $21.28 million financing of a multifamily housing development in Lawrenceville, Georgia, with a Freddie Mac tax-exempt loan structure
  • Served as bond counsel in 2019 for an $8.5 million financing of a multifamily housing development in Brunswick, Georgia, with a publicly offered Fannie Mae Tax-Exempt Bond (M.TEB) structure and a subordinate direct-purchase loan

Representative Transactions – Lender's Counsel

 

  • Served as counsel to a large commercial bank in 2020 for construction loans totaling more than $250 million, the proceeds of which were used to finance the construction of multifamily housing developments in South Florida
  • Served as counsel to a large financial institution as permanent lender for more than $750 million in loans used to finance multifamily housing developments around the United States

Ms. Dyer works on large economic development and P3 transactions throughout the United States, with a focus on State of Georgia transactions. She has represented both private and public entities and advises clients on how best to package the various economic development tools available to both parties to accomplish their joint goals for a community or development.

Representative Transactions

 

  • Represented the developer of an $85 million student housing project in connection with an economic development incentives transaction in Atlanta
  • Represented the developer of a $225 million innovative, ground-up mixed-use development that included retail, multifamily, office and art space in connection with an economic development incentives transaction in an urban, underdeveloped area of Atlanta
  • Represented a city in north Georgia in connection with the development of its City Square and related economic development incentives transactions with a value of more than $250 million
  • Represented construction lenders on transactions involving economic development incentives for the development of large warehouse and distribution facilities in Gwinnett County and Fulton County, Georgia

Ms. Dyer has extensive experience as bond, lender, underwriter, disclosure and borrower's counsel on tax-exempt and taxable financings for healthcare, educational and other nonprofit institutions. With a deep understanding of the tax and securities law requirements involved in structuring a successful transaction, Ms. Dyer has become a trusted advisor to clients in the healthcare, educational and nonprofit industries.

  • Represented an elite secondary school as bond and borrower's counsel on $250 million in taxable and tax-exempt direct purchase bond transactions to finance expansions and improvements on its Atlanta campus
  • Represented a large commercial bank in 2020 as purchaser's counsel on a $70 million tax-exempt bond transaction for Grady Hospital
  • Represented a large commercial bank in 2020 as lender's counsel on a $250 million loan to finance the acquisition of a healthcare facility in Orlando, Florida

Ms. Dyer has served as bond, lender, underwriter and disclosure counsel on tax-exempt and taxable financings for local governments. Ms. Dyer has advised on projects that include general obligation, water and sewer revenue, sales tax, tax increment, hotel-motel tax and other similar repayment sources. She is knowledgeable in Georgia referendum requirements for general obligation and sales tax transactions, as well as other Georgia-law specific requirements for local government finance transactions. She has served as underwriter's counsel on similar transactions around the United States for a large variety of large commercial banks and investment banking clients.

Representative Transactions

 

  • Serves as bond counsel on an ongoing basis for a large metropolitan Georgia rapid transit authority for transactions to finance capital projects to its bus and rail system in excess of $1 billion since 2014, secured by the pledge of a local sales and use tax
  • Served as bond and disclosure counsel to a large city in north Georgia in connection with more than $200 million in projects to finance a city hall, libraries, roads, parks and other municipal projects; representations included preparation of referendum documents for general obligation and sales tax-backed financings
  • Served as bond counsel to Georgia's largest school district in connection with its general obligation bond issuances in excess of $1 billion since 2014, the proceeds of which were used to finance or refinance capital school projects and were secured by a general obligation or sales tax pledge; representations included preparation of referendum documents for general obligation and sales tax-backed financings
  • Served as bond counsel to a Georgia town in connection with various water and sewer expansion and repair projects and financed with $50 million in bonds secured by a pledge of the town's water and sewer system revenues
