  • Represented the owner of a portfolio of gas station properties in the consolidation of approximately 70 corporate entities and the refinancing of several hundred gas station properties; representation included in-depth tax analysis and advice, management services and supply agreements, and transfer and sale of membership interests among owners and transfer of several real properties
  • Represented a wholesale fuel distributor in the sale of approximately 120 owned and ground-leased gas station properties, and more than 40 supply agreements in upstate New York, Connecticut and New Jersey
  • Represented a national private equity fund in the acquisition of portfolios of gas station properties across the Midwest
  • Represented a company in the sale of 94 gas station properties (and associated agreements, personal property and equipment) in Maryland and New York
  • Represented a company in the acquisition of approximately 57 new gas station sites and the simultaneous refinancing of an additional 90 gas station sites in New York state
  • Negotiated for the acquisition of approximately 65 sites and closed acquisition and financing (including mezzanine financing) of 20 Shell-branded sites in the Washington, D.C., metro area; representation included due diligence, entity creation, loan documents and closing documents
  • Closed the acquisition and financing of approximately 60 Exxon-branded sites in the Northern Virginia area; representation included due diligence, entity creation, purchase and sale agreement, loan documents and closing documents
  • Closed the sale-leaseback of approximately 30 Exxon stations in suburban Maryland
