Alternatives for Minority Shareholders Against the Abusive Exercise of a Controlling Administrator: Is There a Legal Defect?

Litigation and arbitration attorney María Alejandra Ortiz wrote an article for Lexir analyzing the rights of minority shareholders against majority shareholders. Ms. Ortiz explains that Colombia's Superintendency of Corporations has strongly defended business autonomy and deciding authority and that the law establishes alternatives that seek to safeguard the interests of associates. However, in practice, a minority shareholder has found itself unprotected against a controlling shareholder that exercises administration of the corporation. In this article, the author explains why legislative intervention is necessary to better protect the interests of corporate associates.
