Overview

David Bright is a Boston business attorney who focuses his practice on financial services matters. Mr. Bright has extensive experience in bank regulatory and transactional matters, with an emphasis on financial technology (FinTech) lending solutions.

Prior to joining Holland & Knight, Mr. Bright served as senior vice president and senior counsel for a Northeast-based regional bank where he served as managing counsel for all major strategic partnerships, including FinTech partnerships in connection with the creation of point-of-sale loan programs and other financial products. While at the bank, Mr. Bright also served as managing counsel for mergers and acquisitions, debt and equity financings, and purchases and sales of loan portfolios.

In addition, Mr. Bright handled legal and business functions relating to commercial real estate owned by the bank as a result of foreclosure, including the leasing, management, disposition and development of such real estate.

Prior to his career in banking, Mr. Bright was a partner in the real estate and finance group of a Boston-based law firm where he represented banks and real estate companies on a range of financing and real estate matters.

Mr. Bright served in the U.S. Army from 1984 to 1988.

Experience

  • Served as managing counsel for a U.S. regional bank in connection with the design and launch of an online consumer loan product. The bank was acting as the finance partner for one of the largest worldwide sellers of consumer electronic equipment. The loan product was designed to increase the company's sales of computers to students and educators, while providing an alternative payment method for the consumer.   
  • Served as managing counsel for a U.S. regional bank in connection with the creation and rollout of a point-of-sale loan product in partnership with one of the largest worldwide sellers of technology products. The loan offering was designed to increase the sales of smartphones and service packages sold by the retailer as part of an annual subscription  program offered to consumers. 
  • Served as lead counsel for a U.S. regional bank relating to the creation of a point-of-sale loan product in connection with the bank acting as the finance partner for one of the largest worldwide sellers of computers. The loan product was created to bolster the sales of home computers and technical support packages sold by the company, while offering a differentiated way for consumers to pay. 
  • Served as managing counsel for a U.S. regional bank in connection with the creation and launch of a consumer loan product in partnership with a major seller of home security systems. The loan offering was designed to increase the sales of security systems and monitoring packages sold by the company, while providing an alternative payment method for the consumer. 

  • Served as managing counsel for a U.S. regional bank in connection with the bank's sale of its entire business in a U.S. state. The sale included $6 billion in deposits, $3 billion of loans and 100 branches. It was one of the largest U.S. bank M&A transactions in decades. 
  • Served as managing counsel for a U.S. regional bank in connection with the bank's initial public offering (IPO). The IPO was the first of three rounds and raised $3 billion. It was one of the largest commercial bank IPOs in U.S. history.
  • Served as managing counsel for a U.S. regional bank in connection with the bank's purchase of $1 billion in auto loans from one of the largest banks in the U.S.
  • Served as managing counsel for a U.S. regional bank in connection with the bank's sale of more than $400 million of restructured mortgage loans.
  • Served as managing counsel for a U.S. regional bank in connection with the bank's  restructuring of more than $3 billion of commercial loans. As part of the restructuring of the loans, assisted the bank in securing over $30 million in real estate equity positions and warrants in favor of the bank.
  • Performed all legal functions and some business functions relating to commercial real estate owned by a U.S. regional bank as a result of foreclosure, including the leasing, disposition and development of such real estate.
  • Served as managing counsel for a U.S. regional bank in connection with the bank's sale of a portfolio of more than 75 properties with an aggregate value of over $350 million. Such work included assisting the bank with the management and sale of several full-service hotels and office buildings.

  • Provided a broad range of counsel to national developers, investors and financial institutions in connection with acquisitions, dispositions, financings and permitting. Highlights include 1) the renovation and development of more than 4,000 units of market rate and affordable housing, 2) the purchase, sale and/or development of hundreds of mixed-use and commercial properties, and 3) numerous representations of clients at zoning and planning board hearings.
  • Served as local counsel to one of the nation's largest owners of biomedical research facilities. Representative transactions included 1) the development of more than 2 million square feet of biomedical research and office space, 2) the creation and enactment of several complex condominium regimes, and 3) a $650 million construction loan and related $350 million refinancing.
  • Served as external general counsel to a Fortune 1000 corporation. Representative transactions included 1) the sale of a portfolio of five commercial properties within a nine month period, 2) the development of the company's six-building corporate campus, and 3) the negotiation of all U.S. and international leases.
