Brian Gannon is an Atlanta attorney who focuses his practice in the areas of corporate and intellectual property law, with an emphasis on complex corporate and technology transactions. Mr. Gannon has more than 20 years of professional experience practicing with corporate and technology teams in the Atlanta offices of several large multinational law firms.

Mr. Gannon represents clients across many industries, including internet service providers (ISPs), pharmaceutical companies, franchisors and multiunit franchisees, manufacturers and distributors, staffing companies, software and systems developers, and other technology product and service providers. Mr. Gannon advises clients in all phases of business, including choice of entity, capital raising, equity and ownership agreements, joint ventures, sales and distribution arrangements, independent contractor and consulting services agreements, mergers and acquisitions, regulatory compliance matters and exit transactions.

In addition, Mr. Gannon handles a broad range of technology transactions, including software development, licensing and distribution arrangements, cloud computing arrangements, professional services agreements, outsourcing transactions, and internet and e-commerce matters.

Mr. Gannon also has experience as an interim general counsel for a pharmaceutical company, where he gained significant experience reviewing and negotiating complex contract research organization (CRO), contract manufacturing organization (CMO), license and distribution, and supply chain arrangements. He also is well-versed in managing complex patent licensing and litigation matters.

  • Represented numerous large multiunit franchisees in connection with the sale of their franchise business
  • Represented a European private equity group as part of international team in its acquisition of the U.S. assets, in the amount of $270 million, of a global independent IT software vendor
  • Assisted a large public insurance company in a $25-plus million acquisition of a managing general agency
  • Represented a global energy company in sale of U.S. subsidiary as part of sale of a global business unit
  • Represented a large privately held engineering services company in sale to a private equity fund
