Zachary "Zac" Kauffman is an attorney in Holland & Knight's Philadelphia office. As a member of Holland & Knight's Financial Services Team, Mr. Kauffman's practice focuses on bank regulatory, commercial lending and corporate governance matters.
Bank Regulatory Experience. While in-house, Mr. Kauffman developed substantial experience in bank regulatory matters, such as interpreting and counseling on attribution lending rules, ensuring compliance with regulatory required third-party risk management directives, as well as drafting and submitting state banking questionnaires and other state filings for financial institutions. Mr. Kauffman is also familiar with risk management guidance for financial institutions, as well as creating and supplementing related procedures, risk models and key risk indicators of such framework.
Corporate Finance/Securities Regulation. Mr. Kauffman also has experience in corporate legal matters, including securities regulation. His securities regulation practice experience includes drafting and filing with the U.S. Securities and Exchange Commission (SEC), insider reporting filings on Forms 3, 4, 5 and 5/A, as well as Form 8-K. Similarly, Mr. Kauffman has experience filing Forms 10-K and 10-Q, and has familiarity with Rule 10b5-1 agreements. He also previously worked closely with, and prepared internal reporting materials for, board committees. Specifically, Mr. Kauffman's duties concerned preparing, editing and presenting for the committees' approval and ratifying the meeting minutes, unanimous written consents and other corporate governance documents of such committees.
Financial Services Mergers and Acquisitions (M&A). Mr. Kauffman has substantive experience with merger projects. In particular, Mr. Kauffman was responsible for identifying and analyzing the impact of a company's merger on its 460 vendor relationships, and further communicating and counseling with respect to the obligations and damages related to the assignment thereof. Mr. Kauffman also managed the enterprise-wide domestic and foreign business registrations and the company's subsidiaries, including the drafting and filing of amendments, withdrawals and requests for certified filings.
Consumer and Commercial Lending. Mr. Kauffman has developed experience reviewing and editing consumer financing agreements, as well as ensuring such agreements compliance with consumer disclosure obligations, such as Unfair, Deceptive or Abusive Acts or Practices (UDAAP). Furthermore, Mr. Kauffman has experience amending lending agreements that may require modifications related to the borrowers' deferment of certain COVID-19 payment obligations. On the commercial lending side, Mr. Kauffman is familiar with bank loan approvals at the board level and related credit assessments, including the board approval process for construction and infrastructure loans in excess of $25 million.
Prior to joining Holland & Knight, Mr. Kauffman was associate counsel and assistant corporate secretary at a major regional bank holding company.
