Overview

Blanca Luévano is a senior counsel in Holland & Knight's Mexico City office. Ms. Luévano focuses her practice on Mexican telecommunications, competition and antitrust, as well as mergers and acquisitions (M&A), and foreign investment matters. She advises clients on cross-border transactions, financing and security agreements, private equity investments, regulatory matters, applications for telecommunications permits and concession, and procedures before the Mexican Federal Institute of Telecommunications (IFT) and the Mexican Federal Competition Commission (COFECE). In addition, Ms. Luévano has participated in merger clearance procedures and the implementation of compliance projects relating to anticorruption and antitrust. In recent times, she has been involved in investment arbitration cases mainly related to the telecommunications sector.

Ms. Luévano has also advised European and American companies in mergers and acquisitions and in investment transactions in Luxembourg and Mexico. Ms. Luévano was an attorney at a Luxembourg boutique firm as a member of the M&A, and Banking and Finance teams.

During her master studies, she was an intern with the Organisation for Economic Co-operation and Development (OECD). In this role, she assisted the Trade, Financial Markets and Corporate Governance committees with drafting summary records, official reports and analysis of working papers.

Experience

  • Currently representing a worldwide leading e-commerce and cloud computing company in connection with new business initiatives
  • Ongoing representation of the distribution company of one of the major film studios, including drafting and negotiating the terms and conditions for the theatrical distribution of pictures, particularly regarding antitrust law and commercial law
  • Currently representing Eutelsat SA in an investment arbitration dispute estimated in US$235 million against the government of Mexico under International Centre for Settlement of Investment Disputes (ICSID) Additional Facility
  • Currently representing Telefonica SA in an investment arbitration dispute estimated in US$1.06 billion against the government of Mexico under ICSID Additional Facility
  • Represented Telefonica Mexico in the first spectrum swap and lease in Mexico of 10 MHz in the 1.7/2.1 GHz AWS-1 band for 10 MHz in the 1.9 GHz PCS band licensed to AT&T
  • Represented a leading public company in the quad-play market in an administrative proceeding before the Federal Institute of Telecommunications (IFT) that ultimately led the Mexican Supreme Court of Justice to issue one of the first rulings rendered against Article 298(B) §III of the Federal Law of Telecommunications and Broadcasting, which provides for penalties due to certain infringements
  • Represented one of the world's leading Internet of Things (IoT) connectivity service providers in a regulatory review in connection with Low-Power Wide-Area networks
  • Advised a major communications infrastructure owner and developer in drafting and negotiating a fiber optic construction and purchase agreement with the American-owned mobile operator in Mexico
  • Represented the largest private independent operator of wireless communications infrastructure in Mexico in assessing the acquisition of additional strategic infrastructure
  • Advised one of the world's leading multinational technology companies in a worldwide regulatory review in connection with a new business initiative
  • Advised one of the world's leading multinational technology companies in a worldwide regulatory review in connection with the licensing of cloud computing services
  • Advised a multinational provider of information technology (IT) services and products in negotiating services agreements and reviewing agreements for new IT solutions to ensure consistency with local law and enforceability in Mexico
  • Advised an American cloud communications platform service and application programming interface (API) provider in reviewing the regulatory environment in connection with expanding functionalities of certain APIs
  • Advised a multinational information technology company servicing the air transport industry in connection with government procurement proceedings and agreements
  • Represented one of the world's leading unified communication services provider in attaining a virtual network operator authorization to provide services in Mexico
  • Advised a leading public company in the quad-play market in drafting transaction agreements for the sale and leaseback of communications towers, tower sites and related assets
  • Represented a leading public company in the quad-play market in all Mexican-related regulatory matters, including assessing the regulatory environment in connection with new business initiatives
  • Assisted a U.S. owner and operator of global medium earth orbit (MEO) satellite infrastructure provider of next generation wireless services in securing a landing rights authorization leveraging the 2 GHz frequency band
  • Drafted and negotiated the transaction documents for the sale of a business line of a major fixed satellite service provider in Latin America to a satellite operator originally based in Colombia, including antitrust clearance
  • Advised an African media group in connection with their European financing and expansion strategy

  • Advised Dufry in the acquisition of World Duty Free in a deal valued in 2.6 billion euros and made the combined group the world's biggest travel retailer, including antitrust clearance
  • Advised one of the leading retail and healthcare companies on an antitrust investigation carried out by the Federal Institute of Telecommunications (IFT) on airtime top-up
  • Provided counsel on antitrust clearance on the acquisition of a Mexican cargo airline by Central America's leading airline group

  • Provided antitrust advice to INVEX Infraestructura 4, S.A.P.I. de C.V. in the acquisition of 100 percent of the issued and outstanding capital stock of Trafigura Mexico Holding B.V., which in turn owns 99.99 percent of the issued and outstanding capital stock of PPM Energy, S.A.P.I. de C.V.
  • Advised Eutelsat Americas, one of the world's leading and most experienced operators of communications satellites, in its sale of Alterna'TV, a Miami-based content distribution platform that provides principally Latin American channels to cable and internet TV operators in the United States, to CANAL+ Group (through its subsidiary, THEMA)
  • Advised a large real-estate developer in the acquisition of a hospital
  • Advised a Canadian investment fund in the acquisition of a domestic label manufacturer group of companies
  • Advised a large Spanish clothing company in reviewing a master franchise agreement to ensure consistency and enforceability in Mexico
  • Advised Dufry in the public tender called by Mexico City International Airport operator to set up and open, in record time, a duty-free shop at Terminal 2
  • Advised an American multinational package delivery company to set up its logistics business in Mexico
  • Provided counsel on the acquisition of a Mexican cargo airline by Central America's leading airline group
  • Advised on Satmex/Eutelsat's sale of a major subsidiary providing satellite broadband internet services
  • Advised on the corporate restructuring of an international information technology (IT) group involving the issuance of American depositary share (ADS) by a Luxembourg company
  • Provided counsel on the set up of a consortium of American and Canadian companies to participate in the public bidding for the construction of a new airport in Cancun
