Overview

Fabio Miceli is an asset finance lawyer who advises clients on a wide variety of general finance, asset and structured transactions, particularly in regard to aircraft acquisition, leasing and trading. He also handles banking, commercial lending and cross-border transactions, representing a range of clients including banks, financial institutions, corporations, airlines and aircraft lessors.

Mr. Miceli also advises on matters concerning financial service activities and business in the Middle East and Africa regions, including the countries of Bahrain, Saudi Arabia, the United Arab Emirates, Kuwait, Qatar and South Africa. These matters include trade and commodity finance, corporate financing, structured financing, Islamic banking, cash management and private equity. In addition, Mr. Miceli counsels on general aspects of commercial, international and aviation law in South Africa.

During law school, Mr. Miceli examined trade law as it involves the World Trade Organization (WTO). His thesis was titled "The Role of the WTO in Global Development With Emphasis on the Enabling Clause and the Aptness of Special and Differential Treatment."

Experience

  • Regularly acts for major aircraft leasing companies in the sale and novation of aircraft, including the drafting of the sale and novation agreements and related ancillary documents
  • Advised a South African airline in relation to the sale of aircraft and the structuring of operating leases as part of a fleet renewal valued at approximately $600 million

  • Advised Pegasus in relation to the financing and acquisition, by way of Japanese Operating Lease with Call Options (JOLCOs); finance lease and Balthazar structures, of several Airbus A320neo aircraft involving Luxembourg-, China-, U.S.- and Ireland-based financiers
  • Advise several major aircraft leasing companies on operating and finance lease transactions
  • Advised Dubai Aerospace on a refinancing transaction involving a of Dubai based financial institution
  • Acted as lead counsel to a southern African development bank on several financing transactions involving multiple South African and European banks

  • Acted as in-house counsel for GE Capital Aviation Services (GECAS) and advised on a range of matters including sale and novation transactions, general terms agreements (GTAs) with maintenance, repair and overhauls (MROs), compliance matters and lease reviews
  • Advised a French multinational bank and financial services company on several aspects of its business including trade and commodity finance, structured finance and cash management
  • Advise investment funds on several matters including mergers and acquisitions (M&A) transactions and restructurings from an aviation finance, leasing and regulatory point of view
