Overview

Ashley Panaggio is a Tampa business attorney who focuses on mergers and acquisitions, securities and capital markets, corporate governance, and general corporate matters.

Ms. Panaggio has experience advising clients on complex merger and acquisition transactions, including stock deals, asset deals, mergers, leveraged buyouts, spinoffs, joint ventures and similar matters. She has assisted in the representation of private equity funds and public and private companies (buy-side and sell-side) in a variety of industries.

In the area of securities and capital markets, Ms. Panaggio has experience advising clients on public and private securities offerings, periodic reporting and proxy statements, Section 16 compliance, corporate governance and other business matters. Ms. Panaggio advises public companies and boards of directors on disclosure, governance, and compliance matters arising out of SEC rules and regulations, stock exchange rules, and various corporate laws, including defending against shareholder activism and advising during proxy contests.

Prior to joining Holland & Knight, Ms. Panaggio served as a judicial intern for the Honorable Peggy A. Quince at the Florida Supreme Court and as a legal intern for the Appellate Division of the U.S. Attorney's Office for the Middle District of Florida.

  • assisted Rooms To Go in the acquisition of Carls Patio
  • assisted a public medical device company in the sale of a division of its business
  • assisted a public energy company in the acquisition of a new line of business
  • assisted a private energy company in the sale of its business to a public company
  • assisted a public manufacturing company in the acquisition of a new line of business
  • assisted with a number of private mergers, reorganizations, stock deals, and asset deals
  • assisted Stoneway Capital Corporation in a $500 million Rule 144A/Regulation S project bond offering for the development, procurement, construction and operation of four simple-cycle power generation plants in Buenos Aires, Argentina
  • assisted the Province of Chubut, Argentina, in a $650 million Rule 144A/Regulation S bond offering
  • assisted the Province of Tierra del Fuego, Argentina, in a $200 million Rule 144A/Regulation S bond offering
