Sahar Shirazi is a corporate attorney who focuses her practice on representing investors, as well as startup, middle-market and Fortune 1000 companies, in venture capital and private equity transactions, mergers and acquisitions, securities offerings and general corporate issues. She is well-versed in providing legal and corporate advice to clients in a wide range of industries, including technology, entertainment, life sciences, medical devices, consumer products and financial services.
As part of her practice, Ms. Shirazi offers strategic insight and counsel to entrepreneurs on a broad array of issues, including general business strategy, organizational and formation matters, day-to-day contracts, equity financings and other liquidity events, intellectual property protection, and employment and compensation consulting.
In addition, Ms. Shirazi represents issuers and underwriters in public financings, including initial public offerings (IPOs), secondary and follow-on equity offerings, crowdfunding, private equity and debt placements, at-the-market offerings, exchange offers, issuances in connection with corporate reorganizations and restructuring, and preparing U.S. Securities and Exchange Commission (SEC) reporting documents.
Prior to joining Holland & Knight, Ms. Shirazi advised entrepreneurs and tech startups in growing and scaling their businesses, as well as public and private companies in capital markets (debt and equity) transactions.
In the community, Ms. Shirazi is a member of the Advisory Council for Entrepreneurship at Cornell, where she advises Cornell alumni founders and entrepreneurs on legal and business-related issues.
