Overview

Suanne C. St. Charles is a partner in Holland & Knight's Boston office and a member of the firm's Real Estate Practice Group. Ms. St. Charles practices in the commercial real estate acquisition, disposition and development, real estate finance and C&I (commercial and industrial) finance areas.

Ms. St. Charles has extensive experience in affordable housing finance, representing lenders providing debt financing on tax exempt and conventional low income housing tax credit projects throughout the country. She also represents commercial lenders on a broad range of real estate matters, including secured lending transactions involving acquisition, disposition and development of real estate. Ms. St. Charles is well-versed in construction, revolving, permanent, bridge and mezzanine financings involving office, retail, hotel, condominium, industrial parks, mixed-use and multifamily projects.

In addition, Ms. St. Charles has extensive experience representing lenders in co-lending and participation financing transactions, intercreditor disputes, work-outs, deeds-in-lieu and foreclosures of nonperforming real estate assets, especially with failed condominium development projects.

  • Represented a permanent lender in a $9 million bond transaction for a project in Vancouver, Wash., Series 2013
  • Represented a permanent lender in a $26 million bond transaction for a project in St. Paul, Minn., Series 2013
  • Represented a permanent lender in a $16 million bond transaction for a project in Orlando, Series 2013A
  • Represented a permanent lender in a $39 million bond transaction for a project in Lake Forest, Calif., Series 2013
  • Represented a permanent lender in a $24 million bond transaction for a project in Snohomish County, Wash., Series 2013
  • Represented a permanent lender in a $33 million bond transaction for a project in King County, Wash., Series 2013

  • Represented a permanent lender in a $35 million bond transaction for a project in Lynnwood, Wash., Series 2015
  • Represented a permanent lender in a $24 million bond transaction for a project in Tacoma, Kent, Renton and Federal Way, Wash., Series 2016
  • Represented a permanent lender in a $62 million bond transaction for a project in San Diego, Series 2016
  • Represented a permanent lender in a $42 million bond transaction for a project in Snohomish County, Wash., Series 2016 
  • Represented a permanent lender for two large investment funds, approximately $80 million each, formed to hold forward permanent financing commitments generated by the California Community Reinvestment Corporation formed by a consortium of major banks; as of December 2016, 18 commitments have been assigned to the funds

  • Handled 43 forward commitments for permanent financing from 2013 through 2016 that were offered by four investment funds owned by a large insurance company; these transactions are generally taxable financings with 9 percent tax credits, ranging in size from $4 million to $15 million

  • Represented a Boston bank in a $40 million bond financing for The Nueva School in San Mateo, Calif.
  • Represented a Boston bank in a $40 million bond financing for Xaverian Brothers High School in Westwood, Mass., Series 2013
  • Represented a Colorado developer in developing and constructing a 286-unit apartment building in the Bulfinch Triangle area of downtown Boston
  • Represented a large electronic health records and practice management services provider located in Watertown, Mass., in acquiring its 29-acre campus on the banks of the Charles River from a major university in Cambridge, Mass.
  • Represented a national lender in connection with modifying or enforcing more than 500 real estate loans secured by properties throughout Massachusetts and New Hampshire
  • Represented a state agency in negotiating a ground lease and related documentation associated with a 15-acre project site (previously used as a highway maintenance facility) redeveloped for use as a 270,000-square-foot first-class office building
  • Represented the senior lender in the financing of a parking garage facility in the Back Bay area of downtown Boston, involving a large acquisition/construction loan with a major mezzanine lender
  • Represented a first mortgage lender in a major financing of the acquisition and construction of a demolition/construction debris waste transfer facility in Brockton, Mass., on a Brownfields site 
  • Represented a state agency in connection with development, permitting and construction of two correctional facilities, one in western Massachusetts and one on Cape Cod
  • Participated in the representation of a major Massachusetts health insurance provider in the acquisition of a 375,000-square-foot office building and the acquisition of a 32-acre parcel of vacant land and development/construction of a large office building, both on the South Shore
  • Represented a state agency in foreclosing on two large multifamily projects and on a partially completed affordable housing condominium project on Cape Cod
  • Participated in the representation of a state development agency in the sale of an 88-acre parcel of land to be developed into a large manufacturing facility
