Austin Stack is a business attorney in Holland & Knight's Los Angeles office who practices in the area of corporate services, with a particular emphasis on employee benefits and executive compensation. Mr. Stack counsels private, nonprofit and governmental employers on a variety of employee benefits issues, including qualified retirement plans, nonqualified deferred compensation arrangements, fringe benefits, as well as health and welfare plans arising under the Employee Retirement Income Security Act (ERISA), Internal Revenue Code (IRC) and the Affordable Care Act (ACA).
Mr. Stack routinely advises clients on day-to-day administrative human resources issues and compliance matters, including regularly assisting clients with correcting plan operational errors through Internal Revenue Service (IRS) and U.S. Department of Labor (DOL) correctional programs. Mr. Stack also advises clients on employment agreements; long-term and short-term incentive compensation plans; the design, qualification, and drafting of 401(k) plans; profit sharing; and other qualified plans. He also provides counsel on corporate mergers and acquisitions (M&A), plan transfers, terminations, fiduciary matters, nonqualified deferred compensation arrangements and executive compensation.
In addition, Mr. Stack has extensive experience with state sovereign immunity analyses in connection with secured transactions with governmental retirement systems and pension funds.
