Kenji Tatsugi is a partner in Holland & Knight's Los Angeles office. Mr. Tatsugi is the head of the West Coast Corporate, Mergers & Acquisitions and Securities Practice Group and a member of the firm's International & Cross-Border Transactions group, with a specific emphasis on the Japan practice.
Mr. Tatsugi is also a certified public accountant, experienced in business and tax law. Mr. Tatsugi represents many domestic and international businesses, and serves as legal advisor and strategist for numerous executives.
Mr. Tatsugi represents a wide range of clients. In the area of international business, he counsels international trading companies in complex import/export issues, such as letters of credit, acquisition, purchase and sale, risk of loss and distribution agreements. He also represents major Japanese companies and their American subsidiaries doing business in California in the areas of contract litigation, employment consulting and dispute resolution, real estate investment planning and litigation, securing intellectual property rights, cross border business planning, visa matters and financing matters.
Mr. Tatsugi has represented numerous businesses, creditors and debtors in complex business litigation. His litigation, arbitration and mediation experience includes matters involving finance, alter ego, real estate development, accounting misrepresentation and forensic accounting. He counsels his manufacturing clients on issues involving distribution systems, independent wholesale structures, leasing and plant permitting, environmental abatement planning and securing inventory financing.
In the area of taxation, Mr. Tatsugi has experience handling a variety of tax and audit matters, including multi-state sales tax audits, interstate business tax allocation issues, tax planning of international business and tax audits for transfer pricing issues. He has appeared before U.S. tax courts, the Internal Revenue Service, the Franchise Tax Board, the Employment Development Department and the State Board of Equalization on his clients' behalf.
Mr. Tatsugi's experience with hospitality industry clients includes the representation of restaurants and hotels in both operational matters and acquisition needs. He assists these clients with business planning, business models and employment issues.
