Overview
Stacy Byrd Thomas is an attorney in Holland & Knight's Business Law Section. Based in Florida, Ms. Thomas counsels private equity, venture capital, real estate and fund-of-funds clients across all major markets, with a focus on formation, operation and maintenance of private investment partnerships from a legal, regulatory and tax perspective. Such representations include counseling investment advisers in marketing and capital raising matters, including the negotiation of side letters and preferential terms with anchor investors and strategic partners.
Ms. Thomas also has extensive experience representing investors, including family office clients and institutional investors, in reviewing and negotiating terms of investments in private investment funds, co-investment vehicles and other alternative investment vehicles.

- Represented a private equity fund in the formation and launch of a sustainable energy infrastructure fund involving several anchor investor negotiations
- Represented a private equity fund in the formation and operation of a real estate joint venture focused on the development of retail shopping centers
- Represented a private equity fund focused on real estate investments in all aspects of formation of the fund and investment management company
- Represented a search fund in all aspects of formation and launch of the fund and reorganization of the investment management company
- Represented a venture capital fund in the formation and launch of a fund focused on innovative science and technology
- Represented a venture capital fund in the formation and launch of a fund focused on technology, cybersecurity, artificial intelligence (AI) and space
- Represented operating partners of a joint venture in the formation of a joint venture and a private investment fund focused on the acquisition, development and operation of storage facilities
- Represented a fund of funds investor in negotiating multiple co-investment transactions
- Represented a large family office in reviewing and negotiating terms for numerous investments in private investment funds consistent with the family office's investment objectives
