Overview

Alejandro Landa Thierry is a partner in Holland & Knight's Mexico City office where he leads its banking and finance practice. His practice focuses in corporate finance, energy finance, capital markets, structured finance, complex mergers and acquisitions, financial restructuring, project finance, energy and real estate matters. He has a wide range of experience in representing Mexican and foreign companies and financial institutions in all matters related to finance transactions, including domestic and cross-border financings, project finance, asset-backed and future-flow securitizations, aircraft and transportation financing and leverage leasing.

In addition, Mr. Landa provides banking, insurance and securities regulatory advice to local and foreign financial institutions, insurance and listed companies regarding complex matters, new financial products and ongoing reporting obligations.

Mr. Landa is well-versed in advising Mexican financial institutions and rating agencies in public finance and infrastructure matters. He has participated in several financial reorganizations of Mexican local governments within the last four years, representing the main lenders. He is highly knowledgeable in the procedures and filings before the Ministry of Finance, National Banking and Securities Commission, Ministry of Communications and Transports, Mexican Antitrust Commission and other federal and local government entities, including the Comisión Reguladora de Energía and the Centro Nacional de Control de Energía.

Mr. Landa is one of the few Mexican attorneys that holds both an engineering degree and a law degree which allows him to provide broad advice to clients on energy, infrastructure and finance matters.

In addition, Mr. Landa advises clients on energy, financial and securities cross-border litigation and arbitration matters.

Representative Experience

  • Representation of a global bank in its role as indenture trustee in the bankruptcy of Metrofinanciera (this was the first case in Mexico of a bankruptcy proceeding with a pre-negotiated agreement between the debtor and the majority of its creditors); the claims filed on behalf of the bank were in excess of $800 million
  • Representation of a global bank in its role as indenture trustee in the bankruptcy of Su Casita
  • Representation of a global bank in its role as indenture trustee in the bankruptcy of ICA, the largest construction company in Mexico
  • Representation of various indenture trustees, common representatives, bond holders and controlling parties in financial restructurings
  • Represented the main lenders in most of the financial reorganizations of sub-sovereign debt in Mexico

  • Advised UBS on a $75 million loan to Aeroservicios Especializados S.A. de C.V. for the acquisition of aircraft
  • Advised Apple Bank on three $10 million loans to Mexican companies for the acquisition of three aircraft
  • Advised East West Bank on a $6.5 million loan to Aeromexico for the acquisition of aircraft-related equipment

  • Represented the Industrial and Commercial Bank of China (ICBC) as lender in Pemex's (Petróleos Mexicanos) financing totaling $8 billion. The transaction was divided into a senior unsecured syndicated term loan facility agreement for an amount up to $2.5 billion and a senior unsecured syndicated revolving credit facility agreement for an amount up to $5.5 billion.
  • Represented Buenavista Renewables (BVR) in the financing of the first utility-scale solar park in Mexico through a self-supply scheme with private off-takers.
  • Represented Elite energy in a 360 MW combine cycle power plant
  • Represented Banco Multiva in the Finance of a public-private partnership (P3) in the state of Mexico
  • Advised Oak Creek Energy Systems, Inc., a California-based wind projects developer, in the development, project finance and sale of the first two construction-ready stages of its Tres Mesas Wind Project to funds managed by Goldman Sachs and Corporativo GBM
  • Represented a bilateral agency and a Mexican bank in the $100 million project financing of a wind project in northern Mexico
  • Represented a bilateral agency in a biomass project financing
  • Represented a developer in a solar project
  • Represented a large construction company in the implementation of a Medium-Term Notes Program ruled by Regulation S and Rule 144/A and secured by a service agreement executed with Pemex
  • Represented a major U.S. drilling company in an award-winning public bid process with Pemex and its joint venture with a Mexican company
  • Represented a large company in Guatemala in the negotiation of an engineering agreement for the construction of a hydroelectric plant in Guatemala
  • Advised new ventures in the review of renewable energy projects in Mexico

  • Advised Banco Multiva on a 1.18 billion-peso ($62 million) loan granted to the Mexican state of Chihuahua, as part of a 28 billion-peso ($1.47 billion) financial reorganization.
  • Represented Buenavista Renewables, a Texas-based renewable energy developer, in a cross-border $30 million refinancing of a solar park project located in Chihuahua, Mexico
  • Advised Banco Multiva on three loans transactions to the States of Morelos (a loan of 838.5 million pesos, approximately $40 million), Veracruz (a loan of 5 billion pesos, approximately $250 million) to the state of Veracruz as part of a financial reorganization totaling 46 billion pesos, approximately $2.3 billion); and Nuevo Leon (a loan of 1.2 billion pesos, approximately $60 million). The loans were granted pursuant to Mexico's new law on financial discipline for federal entities and municipalities. Banco Multiva was selected as lender to the states through a competitive bidding process
  • Represented Banco Multiva in the financing of 5 billion pesos granted to the state of Quintana Roo (Mexico) as part of a 19 billion-peso financial reorganization
  • Advised Banco Multiva in a total of four loans to Nuevo Leon for a combined amount of 6.6 billion pesos ($362 million), as part of this financial reorganization
  • Represented Banco Multiva in a 1.5 billion-peso financing to the state of Nuevo Leon as part of a 42 billion-peso financial reorganization
  • Represented the state of Sonora in a 1.5 billion-peso financing granted by Banorte
  • Represented two lenders in a series of credit facilities granted to a Mexican state for an aggregate amount of 7 billion pesos
  • Represented two lenders in the financial restructuring of a Mexican state for approximately 16 billion pesos
  • Represented the Arranging Bank in a 10 billion-peso structured loan to the state of Veracruz
  • Assisted Estrategia Financiera, the financial advisor for the state of Baja California Sur, in a 1 billion-peso structured loan as well as the implementation of the first local infrastructure fund constituted after the Mexican National Infrastructure Fund (Fonadin)
  • Represented the agent in the securitization of local taxes of the state of Oaxaca, Mexico
  • Represented the state of Chihuahua in the first securitization of federal proceeds in the amount of 1.2 billion pesos
  • Represented XL Capital Assurance in the granting of an insurance wrap of the securitization of the future revenues from the Matehuala bypass toll road
  • Participated in the implementation of a PFI project for the creation of a multimodal transference center in Mexico City
  • Advised a construction company in the negotiation of a PPS contract with the Mexican federal government
  • Participated in the first two toll road securitizations insured by a monoliner in Mexico
  • Advised Banco Interacciones on the refinancing of an approximately 6 billion-peso ($320 million) loan to the Mexican state of Chihuahua

  • Advised Instituto del Fondo Nacional para el Consumo de los Trabajadores (INFONACOT) on a 2 billion-peso ($111 million) securities issuance – with ticker symbol FNCOT 18 – on the Mexican Stock Exchange, which obtained an AAA rating by both Fitch and HR Ratings
  • Advised Banco Santander (México) in debt restructuring agreements for Oasis Hotels & Resorts and Grupo Aguacatero Los Cerritos
  • Advised INFONACOT in a $230 million consumer loan securitization on the Mexican stock exchange as part of INFONACOT's $330 million debt program
  • Advised in a $45 million (800 million pesos) securities issuance by Mexican state consumer lending agency INFONACOT on the Mexican Stock Exchange. Actinver Casa de Bolsa, S.A. de C.V. acted as placement agent. The issuance is part of INFONACOT's $570 million (10 billion pesos) debt program
  • Represented Banco Latino Americano de Comercio Exterior, S.A. (Bladex) in a 1.5 billion pesos ($75 million) issuance and offer of securities.
  • Represented Goldman Sachs in a cross-border asset-back bridge and term financing by Goldman Sachs, as lender and sole lead arranger, and a syndicate of national and foreign banks, for the acquisition of GE leasing business in Mexico by Linzor Capital Partners
  • Lead counsel of Bladex in its capacity of lender in the project finance to a financial institution for 420 million pesos
  • Lead counsel of Bladex in its capacity of lender in the project finance to UNIFIN Financiera S.A.B de C.V, SOFOM, E.N.R for $50 million
  • Lead counsel of Bladex in its capacity of lender in the project finance to Mexico's biggest sugar conglomerate
  • Represented SICREA in a 1 billion-peso revolving auto loan securitization
  • Represented FOVISSSTE in its first private mortgage-backed cross-border securitization (MBS) for an amount of $458 million. This transaction is one of the largest cross-border residential mortgage-backed securitizations (RMBS) done in Latin America.
  • Represented Casa de Bolsa Finamex in the registration of the two first programs of structured notes issued by a financial institution in Mexico for $750 million
  • Represented Nacional Financiera S.N.C. in the reopening and registration of NAFTRAC Program related to the leading stock index in Mexico (BMV-IPC) for approximately $40 billion
  • Represented a Mexican mortgage company, Sociedad Financiera de Objeto Limitado, in the cross-border securitization of bridge loans in two issuances: the first in the amount of $150 million, with financial guarantee insurance issued by Ambac; the second in the amount of $75 million, with no such insurance, which was given the 2005 "Latin America Deal of the Year" award in the Asset Securitization Report.
  • Advised an AFORE in the negotiation of ISDA Agreements for the execution of derivative transactions in international markets

  • Represented a U.S. financial institution in the $50 million cross-border financing for the development of a timeshare resort in Los Cabos, Baja California Sur
  • Represented a U.S. financial institution in the first cross-border timeshare financing in pesos located in Ixtapa, Zihuatanejo, Guerrrero
  • Represented a U.S. financial institution in the design and implementation of a guaranty structure for loans granted to U.S. citizens for the acquisition of second homes in Mexico
  • Represented a Mexican financial institution in the incorporation of a Canadian fund to invest in Mexican real estate projects
  • Represented a Mexican company on the design and implementation of a FIBRA (a Mexican REIT)
  • Represented the buyer of an emblematic building in Mexico City (Torre Mexicana) in the acquisition and financing facility

  • Represented the controlling shareholders of a prominent Mexican mortgage company in the 400 million-peso sale of 49 percent of the company
  • Represented a Mexican investment bank in its international merger with a NYSE- listed company, which included an IPO and the acquisition of a Mexican brokerage firm
  • Represented several Mexican and foreign companies in general corporate matters

  • Represented lenders on an ongoing basis in the financing of the acquisition and lease of vessels and rigs related to the oil and gas sector
  • Advised the lessors in connection with several aircraft lease agreements with Aeromexico
  • Advised a U.S. financial institution in a $6.5 million loan to Aeromexico for the acquisition of aircraft related equipment
  • Advised a U.S. Bank in two $10 million loans to Mexican companies for the acquisition of two aircraft.
  • Advised the purchaser in the acquisition of aircraft from Aeromexico

  • Represented the selling party First American Title Insurance Mexico in the sale of 100% of their shares as well as the related services business to the buyer Netzer Seguros
