Overview

Anne-Mette E. Andersen practices in the areas of corporate law, mergers and acquisitions, international business transactions, securities and asset-based finance.

International Mergers and Acquisitions, Financing and Securities

Ms. Andersen assists U.S. and foreign corporations, including Scandinavian and Brazilians companies, on a regular basis in transactions such as mergers and acquisitions, stock and asset sales, and joint ventures. Her clients include businesses in the renewable energy, oil and gas, technology, retail, manufacturing, service, aviation, shipping, rail and professional design sectors, among others.

Ms. Andersen also advises clients on loan and financing agreements. She has substantial experience in public and private securities offerings and IPOs, including simultaneous offerings in multiple countries and the United States.

Start-Up/Emerging Growth Companies  

Ms. Andersen represents entrepreneurs, start-up/emerging growth companies and joint ventures (e.g. mobile apps, online games, technology and medical devices) in every stage of development, from formation through financing and closing. She provides both ongoing operational counsel as well as transaction-specific services and has extensive experience in negotiating and drafting a wide variety of commercial contracts, such as software; media and other intellectual property licenses; LLC/joint venture agreements; sales contracts; leases; and manufacturing and distribution agreements.

Establishing a New Business in the U.S.

Ms. Andersen regularly helps international clients establish their businesses in the U.S. She has significant experience in setting up U.S. subsidiaries and negotiating the acquisition of existing business, joint venture, shareholder, agency and distribution agreements.

Corporate and LLC Structuring

Ms. Andersen routinely advises clients on structuring complex corporate and limited liability company structures involving corporations, limited liability companies and other corporate entities in the U.S. and other jurisdictions based on U.S. law (e.g., Marshall Islands and Liberia).

Professional Design Corporations and Licensing

Ms. Andersen also has substantial experience in the field of professional design corporations and professional licensing for engineering and architecture businesses. She has assisted many design corporations with compliance strategies and registration requirements and headed the purchase and sale of engineering and architecture corporations.

Prior Experience

Ms. Andersen has significant career experience from private practice in Denmark, where she practiced for four and a half years with the law firm Reumert & Partners (now Kromann Reumert), primarily in the areas of general corporate law, mergers and acquisitions and insolvency law, but also in commercial and torts litigation and arbitration. While practicing in Denmark, Ms. Andersen represented, among others, U.S., Canadian and Danish corporations in transactions involving mergers and acquisitions and other corporate transactions in Denmark.

Prior to entering private practice, Ms. Andersen was a lawyer with the Danish Ministry of Justice.
