Overview

David Matuszewski is a Tysons attorney who has a broad range of experience representing both lenders and borrowers in commercial lending and corporate finance transactions, as well as general business law. Mr. Matuszewski has significant experience negotiating and structuring senior-secured credit facilities, cash-flow-based financings, second-lien and term debt facilities. 

In 2014 and 2015, Mr. Matuszewski represented lenders, agents and borrowers in more than 50 credit facilities across a wide range of industries, including government contractors, IT services, data and Internet analytics, energy, hospitality, political organizations, staffing companies, shipping, entertainment, railcars and accounting. Many of these transactions were part of a leveraged buyout, including the sale of the company to its employees as a part of an Employee Stock Ownership Plan (ESOP), or other significant recapitalization of the company and its subsidiaries (including dividend recapitalizations). 

Mr. Matuszewski has been involved with financing related to the new markets tax credit and other tax credit structures, and served as U.S. counsel in numerous international lending transactions, as well as Virginia counsel with respect to numerous large credit facilities. He has lectured on secured transactions and the Uniform Commercial Code.

Mr. Matuszewski has significant experience in the bankruptcy and creditors' rights areas. This experience has proved very valuable in his lending practice. Prior to entering private practice, Mr. Matuszewski clerked for Chief Judge Martin V.B. Bostetter of the U.S. Bankruptcy Court for the Eastern District of Virginia.

Mr. Matuszewski has passed the Uniform CPA Examination.
